Venue Terms & Data Processing Agreement

Last updated: October 2026 · These terms govern the relationship between Di Capitan Ltd and the hospitality venues that use Manjelier. Guests are covered by the Terms of service.

1. The service

Manjelier provides your venue with an AI digital waiter for your guests, a reservation system, a staff pad, and a management dashboard, as described on manjelier.com and subject to the limits of your plan. The AI assistant is always presented to guests as an AI. We may improve, extend or adjust features over time; we will not materially reduce the core service you pay for without notice.

2. Your responsibilities

You are responsible for the accuracy of the data you provide: your menu, prices, opening hours and, above all, allergen and dietary information, which you must keep complete and up to date. The AI can only relay what you enter. You remain the food business operator with sole legal responsibility for allergen accuracy and food safety towards your guests. You must also keep your access credentials (dashboard login, staff PIN) confidential and tell us promptly if you believe they are compromised.

3. Fees and payment

Fees are those of the plan you subscribe to as published on manjelier.com, or the price otherwise agreed with you in writing. Fees are invoiced in advance, monthly or yearly as chosen at sign-up, and are exclusive of VAT where applicable. If an invoice remains unpaid 14 days after its due date we may suspend the service until payment is made. Prices may change with at least 30 days' notice, taking effect at your next renewal.

4. Term and termination

The service runs for the billing period you choose, monthly or yearly, and renews automatically. There is no minimum term beyond that period and no exit penalty: either party may terminate with notice effective at the end of the current billing period. We may suspend or terminate immediately for material breach, unlawful use, or abuse of the platform. On termination, section 8 of the DPA below governs the return and deletion of guest data, and you may request an export of your own venue data (menu, reservations, clients) beforehand.

5. Intellectual property

The platform, its software and its branding belong to Di Capitan Ltd. Your menu, your brand assets and your data belong to you; you grant us the licence needed to operate the service with them, and nothing more. Aggregated, anonymised statistics that identify neither your venue nor your guests may be used to improve the service.

6. Liability and governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them. To the maximum extent permitted by law, Di Capitan Ltd's total aggregate liability arising out of or in connection with the service shall not exceed the fees paid by the venue in the twelve months preceding the claim, and neither party is liable for indirect or consequential loss. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

Data Processing Agreement

This DPA forms part of the Venue Terms and satisfies Article 28(3) of the UK GDPR.

7. Roles

Where you submit guest personal data to the service (reservations, guest chat, guest profiles at your venue), you are the data controller and Di Capitan Ltd is the data processor. For the cross-venue Manjelier guest profile and for your own account data, Di Capitan Ltd is the controller, as described in the privacy policy. The subject matter of the processing is the operation of the services in section 1; its duration is the term of these Terms; the data types and categories of data subject are those described in the privacy policy (guests: identity, contact, reservation details, chat messages, declared dietary information).

8. Processor obligations

Di Capitan Ltd shall: process guest personal data only on your documented instructions (using the service is such an instruction); implement appropriate technical and organisational security measures, including tenant isolation at the database level and encryption in transit; ensure persons processing the data are bound by confidentiality; assist you with data subject requests and with your breach notification duties without undue delay, and notify you without undue delay after becoming aware of a personal data breach affecting your guests; make available the information reasonably necessary to demonstrate compliance with this DPA and allow for audits on reasonable notice; and, upon termination, delete or return all guest personal data at your choice, save where retention is required by law. Chat transcripts are in any case deleted after 30 days as described in the privacy policy.

9. Sub-processors

You authorise the following sub-processors: Supabase (database and authentication hosting), Cloudflare (application hosting), OpenAI (generation of AI assistant replies; conversation and menu context only, not used for model training under our API terms), and Resend (transactional email delivery). We will give at least 14 days' notice of any addition or replacement, during which you may object on reasonable data protection grounds; this page is the authoritative list.

10. Marketing and lawful basis

Where you use Manjelier to send marketing to your guests, you are responsible for the lawful basis of each send under UK GDPR and PECR (explicit opt-in, or a valid soft opt-in you have established with that guest). Manjelier sends only on your instruction, includes a working unsubscribe link in every message, and honours opt-outs immediately across the platform.
